Companies (Jersey) Law 1991

Structure
1. The minimum number of shareholders is one.

2. The minimum number of directors required is one. They can be natural persons of any nationality and need not be resident in Jersey.

3. A company secretary is required who can be a natural person or body corporate. Can be of any nationality and need not be resident in Jersey.

4. It is no requirement to file audited financial statements with the authorities, however it is important to note that a company is required to keep financial records, which reflect the financial position of a company.

5. The beneficial ownership of all Jersey companies is disclosed to the Jersey Financial Services Commission at the time of incorporation.

Shares and Capital Requirements
Standard authorised share capital is GBP 10,000. Minimum paid up share capital is GBP 1.
Registered shares, shares of no par value, preference shares, redeemable shares and shares with or without voting rights are permitted.

Taxation
All companies incorporated or becoming first resident from 3rd June 2008 Jersey have a corporate income tax of 0% unless they are financial services entities, utility companies or rental and property development companies.
