International Business Companies( IBC) Act, 1996, Act 10 of 1996 (Amended to 2008)

Structure
1. Nominee shareholders and directors are allowed
2. Requires a minimum of one director.
3. One shareholder allowed. The same person can be the shareholder and director.
4. Directors and shareholders may be natural persons or corporate entities in Dominica companies.
5. Shareholders and directors may be of any nationality and residents of any country.
6. The information on the beneficial owners is kept at the registered office and not available to the public.

Shares and Capital Requirements
Shares can be issued with or without Par Value.
Shares may be issued as registered shares or bearer shares. The bearer shares must be kept in Dominica.
There is no limit on the share capital value.
The minimum issued capital is one share.

IBC Taxation
Law provides minimum twenty (20) years Tax Exemption for offshore companies beginning from the day of incorporation.
